These are the terms for an Evidence Sweep matter. They are written in plain words on purpose. You accept them when you pay online, when you confirm an invoice by email, or when you send a document set after receiving them. If anything here does not match what we discussed, tell me before you send anything.
For one matter and one question agreed at intake, Tessera Strategy ("Tessera", run personally by Kevin Matos) reviews the document set you provide and delivers four things: a findings workbook with every figure cited to its source document, page and line; a source index with one row per document; a short summary memo; and an append-only audit log of the processing. A 30-minute walkthrough call follows delivery.
The fee covers up to about 3,000 documents. The set may include bank and brokerage statements, ledgers, invoices, contracts, tax returns, and email or message exports, sent as produced. Larger sets or a faster turnaround are quoted in writing before work starts, and sets above about 5,000 documents are scoped separately.
Not included: legal advice, accounting or audit opinions, valuations, expert opinions, and testimony. The work is a first pass that your attorney or CPA verifies before relying on it. A flag is an observation for professional review, not a conclusion.
Delivery is within 72 hours of the clock start. The clock starts at the last of three things: the full document set received, with your written confirmation that it is complete; the protective order acknowledgment (or the confidentiality terms in section 6) in place; and payment cleared. You get an email with the start time and the due time. If missing or unreadable documents affect the question, I call you, and the due time moves by the time it takes to get replacements. Documents sent after the clock starts are a change, confirmed in writing with any effect on scope and timing.
The fee is $2,500, fixed. Pay online by card or bank transfer, or ask for an invoice. Work starts when payment clears. If payment has not cleared within 10 business days of intake, the matter may be closed and any documents held are returned or destroyed under section 6. If payment has cleared but the full set has not arrived within 30 days, either side may cancel by email for a full refund. Once the clock starts, the fee is not refundable unless Tessera fails to deliver.
How you bill the work to your client is your call.
For 5 business days after delivery, report any error or discrepancy and it is corrected at no charge. Later requests, and requests for new analysis, are a new matter.
Tessera is normally retained by counsel, or by a forensic accountant working for counsel, to help counsel review documents and give legal advice; it works at counsel's direction, reports only to counsel, and marks deliverables accordingly. If no counsel is involved, you understand that the work may not be protected by any privilege. Say at intake which applies.
Once the fee is paid, the deliverables are yours. You decide whether to share them with the court, the client, or the other side. Tessera keeps its own methods, software and templates and never reuses your information.
Tessera's total liability for any claim relating to a matter will not exceed the fee paid for that matter. Neither side is liable for indirect, consequential, special or punitive damages, or for lost profits. These limits do not apply to gross negligence or willful misconduct. Tessera does not guarantee any result: a finding cites what a document shows; it is not proof that a fact is true, and you and your professionals decide how to use it.
Tessera is an independent contractor. New York law governs these terms, and disputes go to the state courts in Queens County, New York, or the U.S. District Court for the Eastern District of New York. These terms, the signed order acknowledgment where one exists, and the invoice or online receipt are the whole agreement. Changes must be in writing, and email counts. Electronic acceptance, signatures and receipts count as originals.
Start a matter and the intake begins the same business day, or email the matter type and a rough document count first.
